Terms of Service
By accessing or using We Shine Well services, community platforms, or membership offerings, you ("Client") agree to be bound by these Terms of Service. Please read them carefully before completing enrollment. By checking the agreement box at enrollment, you confirm you have read and agree to these Terms in full.
1. About We Shine Well
We Shine Well, operated by Zoe Kelsey, offers premium business concierge services, strategic support, and community membership for established founders and thought leaders in the wellness space. Specific deliverables, pricing, and program details are outlined in your Client Agreement and/or the enrollment page at the time of purchase.
We Shine Well is not a substitute for personalized business, legal, medical, or financial advice. If you believe you may benefit from individualized professional support of any kind, we encourage you to seek it.
2. Membership and Fees
Fees, billing frequency, and minimum commitment periods are as stated at the time of enrollment and in any accompanying Client Agreement. By enrolling, you confirm you understand and agree to the pricing and terms presented at checkout.
We Shine Well reserves the right to update pricing for new and renewing members with a minimum of 60 days' written notice. Active annual Clients will not be subject to price increases during their current paid annual term.
3. Auto-Renewal
By enrolling, you authorize We Shine Well to automatically charge your payment method on a recurring basis — monthly or annually, depending on your selected plan — until your membership is properly canceled. Your billing date is the date on which you initially enrolled. This process repeats until canceled in accordance with the Cancellation Policy below.
By completing enrollment and checking the agreement box, you give your unequivocal, clear, affirmative consent to these auto-renewal terms and confirm you understand how to cancel before your card is charged for the following period.
4. Cancellation Policy
After any minimum commitment period stated at the time of enrollment, you may cancel your membership at any time by emailing hello@weshinewell.com with the subject line MEMBERSHIP CANCELLATION, including your name and email address.
Cancellations must be submitted at least 14 days before your next scheduled billing date to take effect before that charge. Cancellations submitted fewer than 14 days before a billing date will take effect the following billing period, and you will retain access through the end of your last paid period.
We Shine Well does offer membership pauses on a case by case basis.
5. Refund Policy
All fees paid to We Shine Well are non-refundable. This includes circumstances such as inability to access the platform, failure to use the membership, change of mind, or dissatisfaction with outcomes. If you experience a technical issue accessing We Shine Well, please contact hello@weshinewell.com and we will work to resolve it promptly.
Canceling a future renewal does not entitle you to a refund of fees already paid.
6. Promotions and Special Offers
From time to time, We Shine Well may offer promotional pricing or founding-rate offers. Any promotion accepted at enrollment is subject to these Terms as well as any additional terms presented at the time of the offer. Promotional pricing applies to the stated term only; standard pricing applies at renewal unless otherwise confirmed in writing.
7. Confidentiality
By joining We Shine Well, you gain access to community content, resources, and the identities and business information of fellow members. You agree to treat all such information as confidential and not to share, reproduce, or disclose it to anyone outside of We Shine Well without express written permission. This obligation applies to: the identity and business details of other members; introductions facilitated by We Shine Well; and proprietary resources, frameworks, and materials created by We Shine Well. This obligation survives termination of your membership.
Breach of this provision may result in immediate termination of your membership and/or legal action.
8. Intellectual Property
All content created by We Shine Well — including written materials, frameworks, recordings, resources, and community content — is the intellectual property of We Shine Well and Zoe Kelsey. You are granted a limited, non-transferable, revocable license to use this content for your own personal and professional benefit during your active membership.
You may not copy, distribute, reproduce, sell, or claim as your own any content or materials provided by We Shine Well. Violation of this section may result in immediate termination of membership without refund and/or legal action.
9. Testimonials and Social Content
Providing a testimonial is entirely voluntary and has no bearing on your membership status or relationship with We Shine Well. If you voluntarily provide a testimonial, you grant We Shine Well an unlimited, irrevocable license to publish it on its website, in marketing materials, and across social media, along with your name and likeness.
You also acknowledge that content you voluntarily post in the We Shine Well community, tag We Shine Well in, or send directly to We Shine Well via email, social media, or messaging may be shared publicly by We Shine Well, and you grant We Shine Well an unlimited, irrevocable license to use, repost, and publish such content in its marketing and communications.
10. Partner Perks and Affiliate Relationships
We Shine Well may provide access to curated partner brands, discounts, and services as a benefit of membership. These are offered as a courtesy. We Shine Well is not responsible for any outcomes resulting from your use of third-party products or services.
Where We Shine Well has an affiliate relationship with a brand, this will be disclosed on or near the relevant link. We Shine Well may receive financial compensation for purchases made through affiliate links.
11. Disclaimer and No Guarantees
We Shine Well services are provided on an "as is" basis. We Shine Well makes no guarantees regarding specific business outcomes, introductions, revenue, partnerships, or results of any kind. Individual outcomes depend on many factors outside We Shine Well's control.
Earnings Disclaimer: No specific financial outcome is guaranteed by participation in We Shine Well. Testimonials and results shared in marketing materials reflect individual experiences and are not typical or guaranteed.
Client agrees that failure to achieve desired results is not a basis for dispute and does not entitle Client to a refund.
12. Limitation of Liability
We Shine Well's total liability to Client for any claims arising under these Terms shall not exceed the total fees paid by Client in the three (3) months preceding the claim. We Shine Well is not liable for any indirect, incidental, consequential, or punitive damages.
13. Indemnification
You agree to defend, indemnify, and hold harmless We Shine Well, Zoe Kelsey, and any affiliates, team members, or agents from any claims, damages, losses, costs, or expenses (including attorneys' fees) arising from your use of We Shine Well, your violation of these Terms, or your actions as a direct or indirect result of your membership.
14. Dispute Resolution
In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If unable to resolve informally, all disputes shall be submitted to binding arbitration administered by the American Arbitration Association in Los Angeles, California, within a reasonable time. The arbitrator's decision is final and binding on both parties and enforceable in any court of proper jurisdiction.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles, and regardless of Client's location
16. Amendments
We Shine Well may update these Terms from time to time as the business evolves. Material changes will be communicated to active Clients, who will have the opportunity to cancel before updated terms take effect. Continued participation in We Shine Well constitutes acceptance of the most current Terms.
17. Entire Agreement
These Terms, together with any Client Agreement or enrollment documentation signed at the time of joining, constitute the complete agreement between you and We Shine Well. In the event of a conflict between these Terms and a separately signed Client Agreement, the Client Agreement governs.
